These Terms & Conditions (“Terms”) are the agreement between you (“customer,” “you,” or “your”) and Nimbus Solutions, LLC (“Nimbus,” “we,” “us,” or “our”). They apply to the internet service, related equipment, customer portal, support, and website we provide.
By ordering service, accepting installation, using a Nimbus connection, accessing the customer portal, or using this website, you agree to these Terms. These Terms incorporate our Privacy Policy, Network Management Policy, and the plan details shown when you ordered service.
Service description
Nimbus provides fixed wireless internet and related network services across Southwest Colorado and the Four Corners. Residential service is delivered over a licensed LTE/4G and 5G wireless network using outdoor equipment installed at the service address. Business, agricultural, industrial, consulting, and enterprise services may include custom wireless links, private networks, cabling, or other site-specific work described in a separate quote or agreement.
Service availability is address-by-address. Speeds depend on line of sight, terrain, signal quality, tower capacity, customer equipment, the number of connected devices at the premises, and the destination you are reaching on the internet.
Eligibility and account information
To receive service, you must be at least 18 years old, provide accurate account and payment information, and have the legal right to authorize installation at the service address. If you order service for a business or other organization, you represent that you have authority to bind that organization to these Terms.
You are responsible for keeping your contact, billing, and service information current. We may use the phone number, email address, mailing address, and customer portal associated with your account for account notices, outage updates, installation scheduling, billing notices, payment reminders, service changes, and other operational communications.
Installation and equipment
Standard residential installation is a one-time $200 charge unless we tell you otherwise in writing. A standard installation generally includes mounting an outdoor receiver, running one cable to the inside of the premises, and providing an Ethernet handoff for your customer-owned router or network equipment.
Some installations require extra work, such as complex mounting, trenching, tower work, long cable runs, outbuildings, business cabling, or other non-standard materials and labor. If extra work is needed, we will describe the scope and cost before the work begins.
Equipment we install or provide remains the property of Nimbus unless we sell it to you in writing. You agree not to sell, move, modify, reset, tamper with, or remove Nimbus-owned equipment without our permission. If service ends, you agree to provide reasonable access so we can recover our equipment. If equipment is not returned, is intentionally damaged, or is missing because of misuse or unauthorized removal, we may charge the replacement cost.
You are responsible for providing safe access to the premises for installation, repair, upgrade, and equipment recovery. You are also responsible for your own devices, your wireless router, internal wiring not installed by Nimbus, and any WiFi or network equipment you choose to manage yourself.
Acceptable use
You may use the service for ordinary lawful residential or business internet access at the installed premises. You agree not to:
- Use the service for unlawful activity.
- Send spam, phishing messages, malware, or unsolicited bulk email.
- Attack, scan, disrupt, or attempt unauthorized access to any network, device, system, or account.
- Interfere with the Nimbus network or another customer’s use of the network.
- Infringe copyrights, trademarks, privacy rights, or other rights of others.
- Resell, redistribute, or extend residential or standard business service beyond the installed premises without written permission from Nimbus.
- Operate as an internet service provider or public access provider using a Nimbus residential or standard business connection.
- Use the service in a way that violates our Network Management Policy.
Guests at your home or business may use your connection in the ordinary course of visiting the premises. That does not allow resale, redistribution to neighboring properties, or operation of a separate network business.
Billing and payment
Residential service is month to month. There are no residential long-term contracts, no residential early-termination fees, no data caps, and no overage charges.
Service is billed on a recurring basis at the rate and billing terms shown when you sign up or as otherwise agreed in writing. Residential plans and standard install pricing are published on our Plans & Pricing page. Business, agricultural, industrial, and enterprise work may be quoted separately.
Bills are due as stated on the invoice or customer portal. If an account is past due, we may send reminders, suspend service, require payment before restoring service, and recover reasonable collection costs where allowed by law. You remain responsible for charges incurred before cancellation or suspension.
If you believe a charge is wrong, contact us promptly so we can review it. Outage credits may be available on request, but unless a separate written service-level agreement applies, service interruptions do not automatically create a refund or credit.
Seasonal hibernation
Nimbus offers billing hibernation for seasonal customers where available. Hibernation pauses regular service billing while you are away and lets you restart service when you return. Hibernation does not transfer service to another address and may require your account to be current before the pause begins.
Service availability
We work to keep the network fast and reliable, but internet service is not guaranteed to be uninterrupted, error-free, or available at every moment. Service may be affected by weather, wildfire, power outages, tower access, upstream providers, maintenance, equipment failure, terrain, line-of-sight changes, interference, customer devices, emergency conditions, or other factors outside our control.
We may perform maintenance, upgrades, repairs, or emergency work on the network. When practical, we will provide notice of planned work that is expected to affect service.
Network management
Nimbus does not block lawful content, throttle lawful traffic based on content or application, or sell paid prioritization. We do shape each connection to the speed tier purchased and may use reasonable, application-agnostic practices to manage congestion, security threats, and network integrity. The details are described in our Network Management Policy.
Privacy
Your information is handled under our Privacy Policy. In summary, we collect the information needed to provide service, bill accurately, support customers, operate the network, secure our systems, and comply with legal obligations. We do not sell your personal information.
Suspension and termination
You may cancel residential service at any time. To cancel, contact Nimbus by phone, email, customer portal, or written notice using the contact information below. Cancellation does not erase unpaid balances or your obligation to return Nimbus-owned equipment.
We may suspend or terminate service, with notice where practical, if you fail to pay, provide false account information, misuse equipment, interfere with the network, violate these Terms, violate the Network Management Policy, or use the service unlawfully. For serious security, legal, or network-integrity issues, we may suspend service immediately.
Business, enterprise, consulting, and custom project agreements may include different cancellation, suspension, payment, or service-level terms. If those terms conflict with these Terms, the more specific written agreement controls.
Disclaimers and limitation of liability
Except where a separate written agreement expressly says otherwise, the service, website, customer portal, and related equipment are provided “as is” and “as available.” To the fullest extent permitted by law, Nimbus disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that:
- Service will be uninterrupted, error-free, or secure against every threat.
- Speeds, latency, or packet loss will meet a specific level at all times.
- Every third-party website, application, game, streaming service, remote-work tool, or device will work over the connection.
- Wireless service will remain available if line of sight, terrain, foliage, construction, or interference changes at or near the premises.
To the fullest extent permitted by law, Nimbus is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost business, lost data, reputational harm, or losses caused by third-party services. Our total liability for any claim related to residential service is limited to the amount you paid Nimbus for that service during the three months before the event giving rise to the claim, unless Colorado law requires a different result.
These limitations do not limit liability that cannot legally be limited, including liability for intentional misconduct or certain personal injury or property damage claims.
Indemnification
You agree to defend, indemnify, and hold Nimbus harmless from claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from your unlawful use of the service, your violation of these Terms, your misuse of equipment, or your infringement of someone else’s rights.
Force majeure
Neither party is responsible for delay or failure to perform caused by events outside that party’s reasonable control, including severe weather, wildfire, natural disaster, power-grid failure, upstream-provider failure, labor disruption, war, civil unrest, government action, supply-chain disruption, or emergency conditions.
Assignment
You may not assign or transfer your account or rights under these Terms without our written permission. We may assign these Terms to a successor or affiliate in connection with a merger, sale, financing, restructuring, or transfer of all or part of our business.
Governing law
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Before filing a formal dispute, both parties agree to make a good-faith effort to resolve the issue by contacting the other party and allowing a reasonable opportunity to respond.
Entire agreement and severability
These Terms, together with the Privacy Policy, Network Management Policy, plan details, invoices, and any written service agreement or quote that applies to your account, are the entire agreement between you and Nimbus for the service. If any part of these Terms is found unenforceable, the rest remains in effect.
Changes
We may update these Terms from time to time. Material changes will be posted on this page with a new “Last updated” date, and we may also notify active customers by email, invoice message, customer portal, or other account communication. If you continue using the service after updated Terms take effect, you accept the updated Terms.
